Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AI Class Pro mobile application (the "App") and related services (together, the "Services"). The Services are operated by UpWise Tech Limited ("UpWise", "we", "our", or "us").
By downloading, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1) Eligibility (18+ Only)
AI Class Pro is offered only to users who are 18 years of age or older. By using the Services, you represent and warrant that you are at least 18.
2) Account and Sign-In
You create and access your AI Class Pro account using your email address or phone number, secured by a password or one-time verification code.
You agree to:
provide accurate and current account information;
keep your password and verification codes confidential;
maintain the security of your device; and
notify us promptly if you suspect unauthorized access to your account.
You are responsible for all activity that occurs under your account. We may suspend or terminate access if we reasonably believe your account has been compromised or used in violation of these Terms.
3) Subscription, Billing, and Free Trials
3.1 Subscriptions only; App Store / Google Play only
AI Class Pro is a subscription-only service. All subscription purchases, renewals, cancellations, and refunds are handled by:
Apple App Store (iOS), or
Google Play Store (Android)
We do not process payments directly and do not store your card details.
3.2 Auto-renewal
Unless you cancel before the end of the current billing period, your subscription may auto-renew at the then-current price, as managed by Apple/Google. You can manage or cancel your subscription through your App Store / Google Play account settings.
3.3 Refunds
Refunds (if any) are governed by Apple/Google's refund policies and processes. We cannot override their decisions.
3.4 Pricing changes
Subscription prices may change as permitted by Apple/Google and applicable law. If a price change affects you, Apple/Google may notify you and/or require you to accept the change.
4) The Service and Course Content
AI Class Pro provides gamified micro-learning courses designed to teach you how to use AI tools (such as Suno, Midjourney, NotebookLM, and others) for general informational and educational purposes.
You do not need a personal account with any third-party AI tool to use our courses. Course content, exercises, and interactive sandboxes are curated and hosted by us within the App. Your activity stays within AI Class Pro and is not shared with any third-party AI tool provider.
We may update, modify, suspend, or discontinue any part of the Services at any time — including courses, features, or availability — for operational, legal, or business reasons.
5) XP, Badges, and Learning Progress
As you complete lessons and activities, you earn Experience Points (XP) and unlock achievement badges tracked in your personal dashboard.
XP, badges, and progress data are tied to your account and are non-transferable.
We do not guarantee that XP, badges, or course progress will be preserved if you delete your account, or if we discontinue a specific course or feature.
XP and badges have no monetary value and cannot be redeemed, exchanged, or transferred.
6) Acceptable Use
You agree not to:
use the Services for any illegal purpose;
attempt to access or interfere with non-public parts of the Services;
copy, scrape, reverse engineer, decompile, or attempt to extract source code, except where prohibited by law;
bypass or disable security or access controls;
upload or transmit viruses, malware, or harmful code;
abuse, harass, or harm other users; or
use the Services in a way that could damage, disable, or impair them.
We may investigate and take action for violations, including removing content, suspending access, or terminating accounts.
7) User Content (If You Submit Any)
If the App allows you to submit content (e.g., feedback, notes, or messages) ("User Content"), you:
are responsible for your User Content;
represent that you have the rights to submit it; and
grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display it only to operate, improve, and provide the Services (and as otherwise required by law).
We are not responsible for User Content posted or stored through the Services, to the extent permitted by law.
8) Intellectual Property
The Services (including the App, course content, designs, text, graphics, logos, audio, videos, and other content) are owned by UpWise or its licensors and are protected by intellectual property laws.
Subject to these Terms, we grant you a limited, personal, non-transferable, non-exclusive, revocable license to use the Services for your own non-commercial purposes.
You may not use our trademarks, branding, or content without our prior written permission.
Third-party AI tool names and logos (including Suno, Midjourney, NotebookLM, and others) are the property of their respective owners. Their appearance in our course content is for educational reference only and does not imply any endorsement or affiliation.
9) Third-Party Services
The Services rely on third-party platforms and services, including:
Apple App Store / Google Play (for subscriptions and app distribution).
Your use of those third-party services is governed by their terms and policies. We are not responsible for third-party services or outages beyond our control.
10) Privacy
Our collection and use of personal data is described in our Privacy Policy. By using AI Class Pro, you acknowledge you have read it.
11) Disclaimers
To the maximum extent permitted by law:
The Services are provided "as is" and "as available."
We do not guarantee that the Services will be uninterrupted, error-free, or always available.
AI Class Pro content is educational and informational. It is not professional advice (legal, medical, financial, etc.). You are responsible for how you use the information.
We make no guarantees about the accuracy, completeness, or continued availability of content relating to third-party AI tools, as those tools are developed and updated independently by their owners.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
12) Limitation of Liability
To the maximum extent permitted by law, UpWise and its directors, employees, and partners will not be liable for:
indirect, incidental, special, consequential, or punitive damages;
loss of profits, data, goodwill, or business opportunities;
arising out of or related to your use of the Services.
If liability cannot be excluded, our total liability for all claims will be limited to the amount you paid (if any) to access the Services in the 12 months before the event giving rise to the claim (or the minimum required by law, if greater).
13) Termination
You may stop using the Services at any time and may cancel your subscription via the App Store / Google Play settings.
We may suspend or terminate your access if you violate these Terms, if required by law, or if we reasonably believe your use poses security, legal, or operational risk.
Termination does not affect your obligations under these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and dispute terms).
14) Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice through the App or other reasonable means. Continued use of the Services after updates means you accept the revised Terms.
15) Governing Law and Disputes
These Terms are governed by the laws of Hong Kong, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Hong Kong, unless applicable consumer protection laws in your jurisdiction require otherwise.

If you downloaded the App from the Apple App Store or Google Play:
Apple/Google are not responsible for the Services or content.
Any claims relating to the App should be directed to UpWise, not Apple/Google, except as required by platform policies.
